These Terms and Conditions (“Terms”) govern your access to and use of websites, online services, and payment services operated by ZTown Media, LLC (“ZTown Media,” “we,” “us,” or “our”), including ztownmedia.com and pay.ztownmedia.com.
These Terms also serve as the End User Agreement for the ZTown Media Payments application and payment portal.
By accessing or using our websites or online services, you agree to these Terms.
If you enter into a separate written service agreement, statement of work, proposal, invoice, payment authorization, or other contract with ZTown Media, that agreement may contain additional or different terms governing the services provided to you.
If there is a conflict between these Terms and a signed client agreement regarding a specific project, service, payment obligation, deliverable, or other client matter, the signed client agreement will control for that matter.
ZTown Media provides professional creative, media, marketing, technology, and related business services.
Our websites may provide information about our services, examples of our work, educational content, contact forms, payment functionality, and other resources.
Information presented on our website does not, by itself, create a client relationship or obligate ZTown Media to provide services.
A client relationship is established when ZTown Media and the client enter into an applicable agreement or otherwise mutually authorize services in writing.
Our websites and online services are intended for adults, businesses, and individuals authorized to act on behalf of a business or organization.
By using our websites or online services, you represent that:
These Terms govern general use of our websites, payment portal, and online services.
They do not replace a separately signed client agreement, statement of work, proposal, invoice, payment authorization, or other written agreement between you and ZTown Media.

ZTown Media operates a secure payment service at pay.ztownmedia.com that allows authorized clients and payers to submit payments related to services provided by ZTown Media.
The payment portal may allow users to:
Use of the payment portal is limited to legitimate transactions involving ZTown Media.
Payment processing is provided through QuickBooks Payments, operated by Intuit Inc.
Sensitive payment credentials are handled through Intuit's payment infrastructure.

These identifiers may allow ZTown Media to process future payments that have been authorized under an applicable agreement without receiving or storing the complete underlying card or bank credentials.
Use of QuickBooks Payments may also be subject to Intuit's applicable terms, privacy notices, and payment-processing policies.
When you submit a payment through the ZTown Media Payments portal, you authorize ZTown Media and its payment processor to process the amount presented to you or otherwise authorized under your applicable agreement.
Certain client agreements may authorize ZTown Media to process:
Where such authorization has been provided, ZTown Media may use the secure payment method associated with your client record to process those authorized charges.
The scope, timing, duration, and revocation of any authorization to debit a credit card, debit card, bank account, or other payment method are governed by the applicable signed agreement or other written authorization provided by the client.
The payment portal itself does not create additional payment obligations beyond those established by an applicable agreement, invoice, or other valid authorization.
Where permitted by an applicable agreement, your payment method may be securely associated with your client record through an Intuit-generated payment identifier.
ZTown Media may use that identifier to process future authorized payments.
The identifier does not provide ZTown Media with access to your full card number, CVV, bank account number, or routing number.
If you believe a payment method should no longer be used, contact us at:
Any request to stop future use of a payment method does not eliminate payment obligations already owed under an applicable agreement.
ACH and other bank payments may require additional time to process.
A transaction may initially appear as pending and later:
Submitting an ACH payment does not satisfy the underlying payment obligation if the transaction is later rejected or returned.
Certain payment methods may be subject to transaction or processing fees.
The amount of any applicable fee, including whether a particular payment method is offered without an additional fee, will be stated in the applicable client agreement, invoice, payment request, or checkout experience.
If the terms of a signed agreement differ from information presented elsewhere on our website, the signed agreement controls.
Deposits, refunds, cancellations, rescheduling, and related financial obligations are governed by the applicable client agreement.
Some agreements may require payment of a deposit before work is authorized to begin and may provide that certain deposits are non-refundable. Those terms apply only where stated in the applicable agreement.
Nothing in these Terms independently creates a right to a refund or independently makes all ZTown Media deposits non-refundable.

Nothing in this section limits any rights you may have under applicable law, banking rules, or card-network rules.

Unless otherwise stated, the content and materials available through our websites and online services, including text, graphics, logos, branding, website design, photography, video, software, documentation, and other materials, are owned by or licensed to ZTown Media and are protected by applicable intellectual property laws.
You may not copy, reproduce, republish, distribute, modify, sell, license, or commercially exploit these materials without authorization except where permitted by law.
Client project materials and deliverables are governed by the applicable signed client agreement.
Depending on that agreement, ZTown Media may retain ownership of original photography, video, audio, raw footage, unedited photographs, project files, source materials, or other production materials while granting the client specified rights or licenses to final deliverables after payment in full.
If the terms of a signed client agreement differ from this section, the signed client agreement controls.
When you submit information through our website, payment portal, forms, or communications, you represent that:
You remain responsible for information and materials you choose to provide to us.
In connection with services we provide, clients may grant ZTown Media access to websites, advertising platforms, social media accounts, hosting services, CRM systems, analytics tools, or other business systems.
Whenever possible, we prefer delegated, administrative, partner, or authorized-user access instead of shared primary credentials.
Where delegated access is not available, a client may choose to provide credentials or other access information necessary for us to perform the requested services.
You are responsible for ensuring that you have authority to grant ZTown Media access to any system you ask us to use.
Access provided in connection with client work is governed primarily by the applicable client agreement.
You may not use our websites or online services to:

Third-party services may be governed by their own terms and privacy policies.
ZTown Media is not responsible for independent acts, outages, failures, or policies of third parties that are outside our reasonable control.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZTOWN MEDIA WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING SOLELY FROM OR RELATED TO USE OF OUR WEBSITES OR ONLINE SERVICES.
This may include damages arising from:
To the maximum extent permitted by applicable law, ZTown Media's liability arising solely from use of the website or payment portal will not exceed the greater of:
(a) the amount paid through the applicable online service in connection with the event giving rise to the claim, or

Any limitation-of-liability provision contained in a separate signed client agreement remains governed by that agreement and controls claims arising from the services provided under that agreement.

If a separate signed agreement contains its own governing-law, venue, arbitration, or dispute-resolution provision, that agreement will control disputes governed by that agreement.

They supplement and do not replace any separately signed agreement between a client and ZTown Media.
For project-specific services, payments, deliverables, ownership rights, cancellation terms, or other contractual obligations, the applicable signed client agreement controls.
